Bianca Kabel represented the first respondent/applicant, instructed by Cowen Schwarz Marschke.
Tim Elliss represented the second respondent, instructed by 23LEGAL.
The first respondent successfully applied to the Supreme Court for the dissolution of, and appointment of receivers to the partnership between Tran Health and Bradfield Pharmacy. The Court ordered that the partnership be dissolved on the just and equitable ground and appointed independent receivers to preserve and wind up the business.
Freeburn J found that the parties were unable to cooperate in the management of the pharmacy, had become embroiled in ongoing disputes concerning business operations and governance, and could not resolve routine decisions without litigation. The evidence demonstrated a breakdown in the relationship between the partners, such that continuation of the partnership was no longer viable.
The Court held that it was just and equitable to dissolve the partnership and appoint receivers to preserve and realise the partnership assets.
